Terms of Use

1. Service Description

Morfoz is a cloud platform extensible with modular add-ons that enables individuals to create digital clones and businesses to set up AI-powered customer communication assistants. The Service includes tools for training, deploying, and managing the assistant.

2. Account and Eligibility

• You must be at least 18 years old to create an account.
• You must ensure the information you provide is accurate and up to date.
• You are responsible for account security (password, session); report suspected unauthorized access immediately.
• A single account cannot be shared among multiple users; team use requires a Workspace license.

3. Acceptable Use

You may not use the Service to:

• Impersonate others or create misleading fake profiles (except for your own openly declared digital clone).
• Generate illegal, fraudulent, harassing, threatening, or hateful content.
• Send spam, mass marketing messages, or unsolicited bulk communication.
• Upload third-party personal data as training data without authorization.
• Reverse engineer the Service, attempt to access source code, or use it to develop a competing product.
• Attempt to bypass the security or integrity mechanisms of the system.

4. AI Disclosure Obligation

Every assistant or clone communicating with end users through Morfoz must inform users — explicitly or contextually — that they are talking to an automated system. This obligation is required by regulations (e.g., EU AI Act Article 50) and must be fulfilled by you.

5. Content and Ownership

• Your content: All data, training materials, and configurations you upload belong to you. Morfoz uses them only to provide the Service to you, under a limited, revocable license.
• Assistant outputs: You own commercial rights to the text, audio, and other outputs your assistant generates; however, Morfoz reserves all rights over the infrastructure, model weights, and software.
• Feedback: You grant Morfoz a perpetual, royalty-free, worldwide license to use the suggestions and feedback you send us.

6. Payment, Renewal, and Cancellation

• Paid plans are billed in advance on a monthly or annual basis.
• Module subscriptions add to the main plan and are billed in the same period.
• When you cancel, your access continues until the end of the current period; no refunds are issued.
• No card details are collected during the 14-day free trial; no automatic conversion occurs at trial end.
• VAT is added at applicable rates; reverse charge applies for EU and UK (where applicable).

7. Third-Party Modules

Modules you purchase from the marketplace (Reservations, QR Menu, E-commerce, etc.) are provided by Morfoz or authorized developers. Third-party modules may have additional terms presented to you at purchase.

8. Service Level and Availability

A monthly uptime target of 99.5% is set for the Service. Planned maintenance is announced in advance. If unplanned outages persistently fall below target, credits are provided for Workspace and above plans (details in the SLA document).

9. Account Suspension or Termination

We may suspend or terminate accounts that violate these Terms, generate unlawful content, or fail to pay — with prior notice or, where necessary, immediately. After termination, you have 30 days to export your data.

10. Disclaimer of Warranties

The Service is provided "as is." We make no implied or express warranty regarding fitness for a particular purpose, uninterrupted operation, error-free service, or accuracy of AI outputs. Final review and accuracy of your assistants' outputs are your responsibility.

11. Limitation of Liability

To the maximum extent permitted by law, Morfoz's total liability is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or punitive damages, or loss of profit or data.

12. Indemnification

You agree to indemnify Morfoz from any claims arising from your use of the Service, content you upload, or breach of these Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, excluding conflict-of-laws rules. Disputes are subject to the exclusive jurisdiction of London courts. For consumer users in Turkey, mandatory provisions of KVKK and the Consumer Law are reserved, and Istanbul courts have jurisdiction.

14. Changes

We may update these Terms from time to time. Material changes will be notified at least 30 days in advance via email. Continuing to use the Service after notification means you accept the new Terms.
